15. Dispute Resolution

15.1 Informal Resolution

Tatte will use good-faith efforts to respond within thirty (30) days. 15.2 Binding Arbitration

If informal resolution efforts are unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Tatte shall not be liable for any failure or delay in the performance of its obligations under these Terms arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, governmental restrictions or orders, war, civil unrest, terrorism, labor disputes, supply chain disruptions, power outages, telecommunications failures, or any other event beyond our reasonable control ("Force Majeure Event"). In the event of a Force Majeure Event, Tatte will use commercially reasonable efforts to resume normal operations as quickly as practicable.

21. No Waiver

The failure of Tatte to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Tatte may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, without your consent, including in connection with a merger, acquisition, asset sale, or other corporate restructuring. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
